Terms of Service
These Terms of Service ("Terms") are an agreement between you and TomTom Enterprises ("TomTom Enterprises", "we", "us", "our") and govern your use of www.tomtomenterprises.com and our other websites, applications and services, including TomTom Games, Toms Java Jive, NovaCPX, Zonecast, Streamhoard, JARVIS and App Grabber (the "Services"), and our offline claw machines and entertainment equipment. By using a Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. Some Services have extra terms (for example game rules, hosting terms or payment terms); if they conflict with these Terms, the extra terms apply to that Service.
1. Eligibility and accounts
You must be at least 18 years old (or the age of majority where you live, if higher) and legally able to enter into this agreement to use our gaming and payment Services. You must give accurate information, keep your login details confidential, and are responsible for activity on your account. Tell us promptly if you think your account has been used without permission. You may have only the accounts we allow. We may require identity or age verification.
2. Acceptable use
You agree not to:
- break any law or any third party's rights, or use the Services for fraud, money laundering or any unlawful purpose;
- use bots, scripts, exploits, multiple accounts, or other means to gain an unfair advantage, manipulate balances, or interfere with games, payments or payouts;
- attempt to access accounts, systems or data that are not yours, probe or test our systems without written permission, or disrupt or overload the Services;
- copy, resell, reverse engineer or misuse the Services, except as the law or an applicable open-source license allows;
- upload malicious code or content that is unlawful, harmful or infringing; or
- tamper with, damage or misuse our claw machines or other equipment.
3. Online gaming, tokens, purchases and cash-outs
Where a Service lets you buy tokens, play games or request cash-outs: tokens and balances have no value outside the Service except as stated in the Service's rules; prices and token amounts are shown before you pay; purchases are processed by third-party payment processors and are subject to their terms; and cash-out requests are reviewed and paid to the payout details you provide, which you are responsible for entering correctly. We may delay, limit, refuse or reverse a purchase, balance change or payout where we suspect error, fraud, abuse, a payment dispute or a breach of these Terms, or where the law requires. Games involve chance; outcomes are not guaranteed. Participation may not be permitted in every location. It is your responsibility to make sure that using the Services is lawful where you live. If you have a gambling or spending problem, please seek help and stop using the Services.
4. Offline claw machines and venues
Our claw machines are for entertainment. Prizes are won by skill and chance, and outcomes are not guaranteed. Machines in public venues are used at your own risk and subject to the venue's rules. Do not shake, force open or damage a machine. If a machine malfunctions, contact the venue or us and we will review a fair resolution. Private and business installations are governed by the separate written agreement made with the business.
5. Hosting, software and other platforms
NovaCPX and other software or hosting services we provide may be offered under their own license or service terms. You are responsible for the content you host and for keeping your credentials secure. Private services such as JARVIS, Streamhoard and App Grabber are available only to people we invite, and access may be changed or withdrawn at any time. Services marked "in development" are provided as-is and may change or be withdrawn.
6. Intellectual property
The Services, including their software, text, graphics, logos and trademarks, are owned by TomTom Enterprises or its licensors and are protected by law. We give you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purpose. Open-source components remain under their own licenses. You keep ownership of content you submit, and you give us a license to host and use it as needed to operate the Services.
7. Third-party services
The Services rely on and link to third-party services such as payment processors, email providers and Google services. We are not responsible for third-party services, and your use of them is subject to their terms and policies.
8. Suspension and termination
We may suspend or end your access, remove content or balances in line with our rules, or close your account at any time if you breach these Terms, if we suspect fraud or abuse, if the law requires, or if we stop offering a Service. You may stop using the Services or ask us to close your account at any time. Sections that by their nature should survive termination will survive.
9. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted, error-free or secure.
10. Limitation of liability
To the fullest extent permitted by law, TomTom Enterprises and its owners, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us for the Service in the 12 months before the claim or US $100. Some places do not allow certain limits, so parts of this section may not apply to you.
11. Indemnity
You agree to defend and indemnify TomTom Enterprises against claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
12. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which TomTom Enterprises is based, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us and try in good faith to resolve the dispute informally. Courts located in that state will have jurisdiction over disputes that are not resolved, except where the law gives you the right to bring a claim elsewhere.
13. Changes to these Terms
We may update these Terms from time to time. We will post the new version here and change the "last updated" date; if a change is significant we will give additional notice. Continuing to use the Services after a change takes effect means you accept the updated Terms.
